I thought it was really damn good. I look at it as an inspirational movie for men. Granted the fight scenes are embarassing (you'd think that after eating jab after jab after jab, you'd have the common sense to put your friggin hands up!!!!!) I loved it though, despite the fact that it was depressing.
If you plan on seeing it, watch Rocky I again. There are a lot of references and characters from the first one that you might not catch onto otherwise.
